Terms, conditions, and SLA commitments governing institutional tenant workspaces, evaluator credentials, and attendance verification on the MetHubs platform.

Commercial & Public Sector Standard Agreement
Clause 1
1. Acceptance & Institutional Binding
These Terms of Service (“Terms”) constitute a legally binding agreement between MetHubs Technologies Ltd (“MetHubs”, “we”, or “platform”) and the institutional subscriber (“Tenant”, “Organization”, or “You”), encompassing government Ministries, Departments, and Agencies (MDAs), international development partners, non-governmental organisations (NGOs), and commercial enterprises deploying capacity-building workshops.
By executing an Institutional Service Order, provisioning a tenant workspace, or registering participants on MetHubs, you certify that you possess the requisite statutory or corporate authority to bind your organization to these Terms.

2. Tenant Workspaces & User Role Governance
MetHubs operates on an institutional multi-tenant architecture with strict role segregation:
Organization Administrators: Possess billing authority, user provisioning rights, workspace configuration, and master M&E executive exports.
Facilitators & Programme Leads: Authorized to create workshop sessions, manage venue GPS boundaries, launch pre/post tests, and monitor live attendance.
Independent M&E Observers: Granted read-only analytical telemetry for donor verification and longitudinal evaluation.
Participants & Attendees: Authorized exclusively to scan verified roll-calls, complete diagnostic tests, rate daily sessions, and retrieve certificates.

3. Anti-Proxy Verification & Programme Integrity
The core premise of MetHubs is absolute credibility in public sector and donor training outcomes. All users agree to uphold strict standards of integrity:
Prohibited Fraudulent Conduct
Attempting to forge, spoof, or simulate device GPS coordinates during QR roll-calls.
Executing proxy attendance check-ins on behalf of absent trainees.
Sharing administrative assessment answer keys prior to diagnostic examination completion.
MetHubs automated anomaly detection flags suspicious attendance clusters (e.g., duplicate device UUIDs checking in disparate names). Flagged records are logged and furnished to the client’s internal audit unit.

4. Subscription Tiers, Billing & Invoicing
Platform access is furnished via Pay-Per-Event workshop passes, annual institutional subscriptions (Professional, Enterprise MDA), or multi-grantee Development Partner licenses as stipulated on our Pricing Schedule.
Public Sector Procurement: Government agencies may execute contracts via formal Local Purchase Order (LPO) and remitted treasury warrants under Nigerian public procurement guidelines.
Quota Enforcement: Training events and participant allocations are counted upon session initialization. Unused quotas within annual cycles do not roll over unless formally specified in an enterprise contract rider.
Currency: Commercial subscriptions are billed in Nigerian Naira (NGN) or United States Dollars (USD) at the prevailing verified central bank exchange rate.

5. Intellectual Property & Content Ownership
Tenant Content: You retain 100% full, unencumbered ownership of all training slides, facilitator manuals, question banks, attendee rosters, and evaluation submissions uploaded to your tenant workspace. MetHubs asserts zero proprietary claim over client training IP.
MetHubs Platform IP: MetHubs Technologies exclusively owns the software codebase, UI interfaces, geofencing algorithms, MetHubs Impact Score evaluation models, and digital certificate verification infrastructure.

6. Service Level Agreement (SLA) & Uptime Commitment
MetHubs guarantees a 99.9% monthly service availability for all production tenant dashboards and participant roll-call scanning endpoints, excluding pre-announced scheduled maintenance windows (conducted outside West Africa Standard Time business hours).

7. Institutional Confidentiality & Non-Disclosure
MetHubs treats all client participant data, diagnostic scores, and strategic training priorities as strictly confidential information. We implement cryptographic tenant isolation and will never disclose institutional performance metrics to third parties without prior written consent from the deploying organization.

8. Limitation of Liability
To the maximum extent permitted under applicable Nigerian law, neither party shall be liable for indirect, incidental, special, or consequential damages (including loss of prospective grants or indirect reputational harm). MetHubs aggregate liability arising under any service contract shall not exceed the total subscription fees paid by the client in the twelve (12) months preceding the claim.

9. Term, Suspension & Data Handover
Either party may terminate an institutional contract for material breach with thirty (30) days written cure notice. Upon expiration or contract termination:
The Tenant is granted a sixty (60) day export window to download complete attendance logs, certificates, and scorecard databases in standard structured formats.
Issued public digital certificates remain cryptographically verifiable to safeguard participant career credentials.
Clause 10
10. Governing Law & Dispute Resolution
These Terms shall be governed by, and construed in accordance with, the laws of the Federal Republic of Nigeria.
Any dispute arising from these Terms that cannot be resolved through amicable senior executive consultation within thirty (30) days shall be referred to and finally determined by binding arbitration under the Arbitration and Mediation Act 2023 in Abuja, Nigeria. The arbitration shall be conducted in the English language by a single arbitrator appointed by the Chartered Institute of Arbitrators (UK, Nigeria Branch).
